Clear Payment Terms for Service Agreement
1. Payment Schedule:
Subscription Fee:
The subscription fee is due immediately upon sign-up and covers a 30-day service period starting from the date of payment.
The subscription will automatically renew every 30 days unless canceled by the client prior to the renewal date.
Successful Meetings Fee:
Payment for each successful meeting is due immediately upon completion of the meeting.
Clients will be invoiced promptly after each meeting, and the registered payment method will be charged accordingly.
2. Automated Billing:
Clients are required to set up an automated billing method (credit card, debit card, or approved electronic payment method) at the time of sign-up.
The subscription fee and successful meeting fees will be automatically charged to this payment method as per the payment schedule.
Clients are responsible for ensuring that their payment information is up-to-date and has sufficient funds for scheduled charges.
3. Refund Policy:
Subscription Fee:
The subscription fee is non-refundable, as it covers the upfront time and resources invested in setting up and maintaining your account, including ICP customization, research, and outreach preparation.
Successful Meetings Fee:
Fees for successful meetings are non-refundable once the meeting has taken place with the decision-maker as defined by your ICP.
Exceptions:
Refunds may be considered on a case-by-case basis in the event of billing errors or other extraordinary circumstances, at the sole discretion of Virtu Sol.
4. Late Payment and Service Suspension:
Payment Failure:
If a payment fails due to insufficient funds, expired payment method, or any other reason, the client will be notified immediately to rectify the issue.
Grace Period:
A grace period of 5 calendar days will be provided to resolve any payment issues.
Service Suspension:
If payment issues are not resolved within the grace period, Virtu Sol reserves the right to suspend all services, including scheduling and conducting new meetings, until all outstanding payments are received.
Reactivation:
Services will be reactivated within 1 business day upon receipt of all due payments.
5. Dispute Resolution:
Disputing Meeting Validity:
If the client believes that a meeting did not meet the agreed-upon criteria (e.g., the attendee was not a decision-maker as per the ICP), the client must notify Virtu Sol in writing within 2 business days of the meeting.
Review Process:
Virtu Sol will review the dispute and respond within 5 business days.
If the dispute is validated, the client will not be charged for the disputed meeting, and efforts will be made to schedule a replacement meeting at no additional cost.
Disputes Outside the Notification Window:
Disputes raised after the 2-business-day window will not be considered, and associated charges will stand.
6. Plan Changes and Cancellation:
Upgrading/Downgrading Plans:
Clients may request to upgrade or downgrade their subscription plan at any time.
Effective Date:
Plan changes will take effect at the start of the next billing cycle.
No mid-cycle adjustments will be made.
Cancellation:
Clients may cancel their subscription at any time by providing written notice to Virtu Sol.
Effective Date of Cancellation:
Cancellation will take effect at the end of the current 30-day billing cycle.
No Prorated Refunds:
No refunds or credits will be provided for partial months of service or unused meetings.
Reactivation After Cancellation:
Clients who wish to reactivate services after cancellation will be required to sign up anew and may be subject to the current pricing and terms at the time of reactivation.
Subscription Fee:
• The subscription fee is billed every 30 days from the date of sign-up and is non-refundable. This fee covers the significant upfront efforts, time, and resources invested in customizing your outreach strategy, including Ideal Customer Profile (ICP) research, campaign setup, and ongoing outreach efforts.
Carry Forward of Unbooked Meetings:
• If the agreed-upon number of meetings is not booked within the 30-day subscription period, Virtu Sol will carry forward the unbooked meetings to the following month. This ensures that you receive the full value of your subscription over time.
Payment for Successful Meetings:
• Payment for successful meetings (i.e., meetings where the decision-maker shows up) will be invoiced immediately after the meeting occurs. Payment is due upon receipt of the invoice. If payment is not received within the specified time, services may be paused, and late fees may apply.
Cancellation Policy:
• Clients may choose to cancel their subscription at any time, but no refunds will be provided for the current subscription period. Any unbooked meetings will be carried forward and honored until the end of the current subscription cycle.
No Deferral of Subscription Fees:
• Even if the agreed-upon meetings have not been booked within the initial 30-day period, the subscription fee for the following month will still be due as scheduled. This is because the subscription fee covers ongoing efforts and ensures continuity of service. We do not allow deferral of subscription payments, as ongoing efforts are required to fulfill the service commitments.
Disputes Regarding Successful Meetings:
• In the event that a client disputes the validity of a successful meeting (e.g., claims the decision-maker was not the right ICP or was not genuinely interested), Virtu Sol will review the case. However, as interest levels and outcomes can vary based on many parameters, Virtu Sol does not guarantee the level of interest or the sale outcome from any meeting.
7. Changes to Payment Terms:
Virtu Sol reserves the right to modify these payment terms as needed.
Notification of Changes:
Clients will be notified of any changes at least 30 days in advance via email and/or through a notice on our website.
Acceptance of Changes:
Continued use of services after the effective date of any changes constitutes acceptance of the new payment terms.

Example Cost Scenarios:
Scenario 1: All Meetings Show Up
Base Subscription: $250
Show-Up Fees: $100 × 3 = $300
Total Cost: $250 + $300 = $550
Scenario 2: Two Meetings Show Up
Base Subscription: $250
Show-Up Fees: $100 × 2 = $200
Total Cost: $250 + $200 = $450
Scenario 3: No Meetings Show Up
Base Subscription: $250
Show-Up Fees: $100 × 0 = $0
Total Cost: $250 + $0 = $250
Scenario 4: Unbooked Meetings Carried Forward
If you only receive 2 meetings in one month, the unbooked meeting will be carried forward to the next month, ensuring you still receive your guaranteed meetings.
9. Acceptance of Terms:
By signing up for Virtu Sol’s services and providing payment information, the client acknowledges that they have read, understood, and agree to these payment terms in full.
Clients must check the agreement box indicating acceptance of these terms before any payments are processed and services are rendered.
